Terms of Service

The agreement between you and Quabynah Codelabs LLC for using the Zoe Community church platform.

Acceptance of Terms

By downloading, installing, accessing, or using Zoe Community (the "App"), our public website, or any related service (together, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Quabynah Codelabs LLC ("Zoe", "we", "our", or "us"), the data controller for the personal data processed through the Service.

These Terms form a binding agreement between you and Quabynah Codelabs LLC. If you are using the Service on behalf of a church, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, please do not use the Service.

This document is a draft prepared for review by qualified legal counsel. It does not constitute legal advice and does not claim certified compliance with any particular law or regulation.

Eligibility

To use the Service, you must:

  • Be old enough to use the Service in your country. The Service is intended for churchgoers and church communities and is not directed at children under 18. If you are under 18, you may use the Service only with the involvement and consent of a parent, guardian, or your church leadership, where local law permits.
  • Have the legal capacity to enter into a binding agreement.
  • Not be barred from using the Service under the laws of Ghana or any other applicable jurisdiction.

By using the Service, you confirm that you meet these requirements. We may ask you to verify your eligibility at any time and may suspend or terminate accounts that do not meet it.

Description of Service

Zoe Community is a multi-tenant church community platform that connects churches (each a "tenant") and their members. The Service is Ghana-first and Android-first, and is designed to work well on mobile networks.

Each church operates as an independent community within the platform. Church administrators and leaders manage their own content, membership, roles, and community guidelines. Features available through the Service may include:

  • Daily devotionals and reading plans
  • Events and RSVP
  • A prayer wall and prayer requests
  • Groups and chat
  • Fasting challenges
  • Podcasts and sermons
  • Live services
  • Giving (tithes, offerings, and other contributions)

We may add, change, or remove features at any time. Some features may be limited to certain churches, regions, or membership roles.

User Accounts

To use the Service, you must create an account using Google sign-in or Apple sign-in. We do not offer password-based accounts. You agree that:

  • You will maintain only one account per person.
  • You are responsible for all activity that occurs under your account.
  • You will not share your account credentials or allow others to access your account.
  • You will provide accurate information and keep your profile up to date.
  • You will notify us promptly if you believe your account has been accessed without your permission.

You are responsible for keeping the Google or Apple account you use to sign in secure. We are not responsible for losses caused by unauthorized use of your sign-in provider account.

Acceptable Use

When using the Service, you agree not to:

  • Post or share content that is hateful, threatening, harassing, defamatory, discriminatory, obscene, or otherwise harmful.
  • Post or share content that is illegal or that encourages illegal activity.
  • Impersonate church leaders, administrators, other users, or any person or entity.
  • Send spam, unsolicited promotions, chain messages, or bulk messaging.
  • Upload or distribute malware, viruses, or any harmful, disruptive, or malicious code.
  • Attempt to gain unauthorized access to other users' accounts, church data, or any part of our systems.
  • Scrape, harvest, or collect data about other users without their consent.
  • Interfere with, overload, or disrupt the Service or the networks and infrastructure that support it.
  • Use the Service for any purpose that violates applicable laws or regulations.

You are also expected to respect the individual community guidelines set by each church's administrators. Churches may set additional rules for their own communities, and continued participation in a church's community may depend on following those rules.

User Content & License

The Service hosts two broad kinds of content: content you create and content churches create.

Content you own. Content you create — such as prayer requests, posts, comments, chat messages, and other contributions — remains yours. You are responsible for the content you post and for ensuring you have the right to post it.

License you grant to us. By posting content on the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content solely as necessary to operate, provide, secure, and improve the Service — for example, delivering your prayer request to your church community or syncing your content across your devices. This license ends when you delete the content or your account, except for:

  • Copies retained in routine backups for a limited period.
  • Content that others have already saved, reshared, or relied on within their own communities.
  • Anonymized or aggregated data that can no longer be linked back to you.

Your responsibilities. You represent that you own or have the necessary rights to the content you post, and that your content does not infringe the rights of others or violate these Terms.

Removal. You may delete your content at any time, which will remove it from the platform going forward, subject to the limited exceptions above. We may also remove content that violates these Terms or a church's community guidelines.

Church (Tenant) Content & Roles

Content published by churches — including devotionals, podcasts, sermons, events, announcements, and other church-authored material ("Church Content") — is owned by the respective church and its creators, not by you and not by us. You may view and interact with Church Content within the Service, but you may not copy, redistribute, or reuse it outside the Service without permission from the church.

Roles. Within each church community, users may hold different roles (for example, member, leader, moderator, or administrator). Roles determine what a user can see and do within that church — such as publishing content, managing events, moderating discussions, or viewing membership information limited to their own church.

Church responsibility. Each church is responsible for the Church Content it publishes, for moderating its own community, and for how its administrators use the tools we provide. We are not responsible for the accuracy, legality, or quality of Church Content, and we do not endorse it. Disputes about Church Content or a church's decisions should be raised with the church directly.

We may act on Church Content or a church's account where it violates these Terms or applicable law, but we are not obligated to monitor Church Content.

Giving and Payments

Certain features of the Service involve payments, including tithes, offerings, and other contributions to churches.

Payments are processed by Paystack and support Mobile Money — MTN MoMo, Vodafone Cash, and AirtelTigo Money — as well as card payments.

DisputesWe are not a party to, and are not responsible for, disputes between you and a church regarding payments or how contributions are used.
Receipts and recordsWe may store transaction metadata (such as amount, date, and the church involved) to operate the giving feature, but not your card credentials.

You are responsible for any fees your mobile money provider, bank, or card issuer charges. By making a contribution, you confirm that you are authorized to use the payment method and that the funds are yours to give.

Account Suspension & Termination

We may suspend or terminate your account, or your access to a particular church community, if you:

  • Violate these Terms.
  • Engage in activity that harms other users, a church, or the platform.
  • Are reported by a church's administrators for violating that church's guidelines.
  • Use the Service in a way that exposes us or others to legal liability.

Where reasonably possible, we will notify you of the reason and, for suspensions, the expected duration. You may appeal a suspension or termination by contacting us at support@qcodelabs.com. We may also discontinue the Service, in whole or in part, with reasonable notice where practicable.

A church may also remove you from its community without affecting your overall account.

Account Deletion

You may request deletion of your account at any time through the account settings in the App.

  • Upon requesting deletion, your account is immediately deactivated and you are signed out.
  • A 30-day grace period begins. During this period your data is retained but your account is inaccessible to others.
  • You may cancel the deletion and reactivate your account at any time during the grace period by signing back in.
  • After 30 days, your personal data — including your profile, church memberships, prayer requests, and activity history — is permanently and irreversibly deleted.
  • Anonymized or aggregated data (such as attendance counts) that cannot be linked back to you may be retained.
  • Some records may be retained where we are required to keep them by law (for example, certain transaction records), for the period the law requires.

Intellectual Property

The Service itself — including the Zoe Community name, logos, software, design, and underlying technology — is owned by Quabynah Codelabs LLC or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted in these Terms, we grant you no rights in the Service.

You may not copy, modify, reverse-engineer, decompile, resell, or create derivative works from the Service or its software, except where such restrictions are prohibited by law.

These Terms do not transfer ownership of your content to us or of Church Content to you. Each owner retains its rights, subject to the licenses described in these Terms.

Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. In particular:

  • We do not guarantee that the Service will be uninterrupted, secure, error-free, or available at all times.
  • We do not guarantee the accuracy, completeness, or reliability of any Church Content or user content.
  • We are not responsible for the actions, content, decisions, or policies of individual churches or other users on the platform.
  • We do not provide spiritual, legal, financial, medical, or professional advice, and nothing on the Service should be relied on as such.

You use the Service at your own discretion and risk.

Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or revenue, arising from or related to your use of the Service.
  • We are not liable for service interruptions, data loss, or damages caused by events beyond our reasonable control.
  • We are not responsible for the conduct of churches or other users, or for disputes between you and a church.

Liability cap. Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the total amount you paid us (not amounts contributed to churches) in the 12 months before the event giving rise to the claim, or (b) the equivalent of GHS 500.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold harmless Quabynah Codelabs LLC and its officers, employees, and partners from and against any claims, damages, losses, liabilities, and reasonable expenses (including legal fees) arising from:

  • Your use of the Service.
  • Your content or the way you interact with churches and other users.
  • Your violation of these Terms or of any applicable law.
  • Your violation of the rights of any third party.

This obligation survives the termination of your account and these Terms.

Third-Party Services

The Service relies on trusted third-party providers ("subprocessors") to function. These providers receive only the data needed to perform their service, and each handles data under its own terms and privacy policy. We do not sell your personal data, and we do not store your payment-card credentials (Paystack handles them).

Your use of these third-party services through the Service is also subject to their respective terms. We are not responsible for the practices of third-party providers, but we choose them with care and bind them to appropriate confidentiality and data-protection obligations.

Cookies and Website Use

Our public website may use cookies and similar technologies to operate the site, remember your preferences, keep you signed in, and understand how the site is used so we can improve it.

  • Strictly necessary cookies are required for the site to function and cannot be turned off.
  • Analytics and preference cookies help us understand usage and remember your choices; you can control these through your browser settings or any cookie controls we provide.

The Zoe Community mobile app does not use website cookies, but it uses similar on-device storage to keep you signed in and to cache content for offline use. Disabling necessary cookies or storage may stop parts of the Service from working.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict-of-law principles. This includes the Data Protection Act, 2012 (Act 843), under which Quabynah Codelabs LLC is the data controller for personal data processed through the Service.

Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Accra, Ghana.

Data-protection rights (Ghana). As a data subject under Act 843, you have rights regarding your personal data, including rights of access, correction, and to object to certain processing. You may exercise these rights by contacting us at privacy@qcodelabs.com. If you believe we have not handled your data lawfully, you may complain to the Data Protection Commission of Ghana.

Cross-border transfer. Our servers are hosted by Hetzner Cloud in the European Union (Germany), while our users are primarily in Ghana. This means your data is transferred to and processed in the EU. We apply appropriate safeguards — including encryption in transit, access controls, and contractual commitments from our hosting provider — to protect data transferred across borders.

For users in the European Union. Where the EU General Data Protection Regulation (GDPR) applies to you, we process your personal data on one or more of the following lawful bases: your consent; performance of a contract with you; our legitimate interests in operating and improving the Service; and compliance with a legal obligation. You have the rights to access, rectification, erasure, restriction, portability, and objection, and the right to withdraw consent at any time. You also have the right to lodge a complaint with your local supervisory authority. To exercise any of these rights, contact us at privacy@qcodelabs.com.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through an in-app notification or on our website and update the "Last updated" date at the top of this document.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service and may delete your account.
